This Framework governs all referrals by Oliva to third-party service providers. By accepting any referral, you acknowledge that Oliva acts solely as an introducer and not as provider of the underlying service.
Table of Contents
1.1 This Third-Party Service Delegation Framework ("Framework") establishes the terms, conditions, and limitations governing all referrals made by Oliva DB Properties CO. L.L.C. S.O.C. ("Oliva") to independent third-party service providers in connection with our real estate brokerage services.
1.2 This Framework applies to all third-party services including: mortgage financing and banking; property management and lettings; property inspection and snagging; legal and conveyancing; tax advisory; currency exchange; interior design and fit-out; moving and relocation; insurance; and any other ancillary services facilitated through Oliva introductions.
1.3 This Framework supplements and should be read with our Terms and Conditions, Privacy Policy, and Key Risks Disclosure. In case of conflict, the Terms and Conditions prevail.
Core Principle, Introduction Only: When Oliva refers you to any Third-Party Provider, Oliva acts solely as an introducer. We provide contact information and facilitate initial introductions only. We do not provide, perform, supervise, control, or guarantee any third-party service.
This means:
Regulatory Context: Oliva is RERA-licensed (BRN 1573501) under DLD. We are NOT regulated by CBUAE, SCA, DFSA, or any professional body for legal, tax, or accounting services. Our introductions are provision of information, not advice.
Relationship framework:
Our referral does NOT create any agency, joint venture, partnership, employment, fiduciary duty, authority to bind Oliva, or endorsement of any provider.
Oliva's Role: Strictly limited to providing contact information upon your request, sharing basic requirements (with consent) to facilitate introductions, providing general factual information about service categories, and disclosing referral fee arrangements.
Oliva Does NOT: Assess suitability of any provider; advise on engagement; negotiate or review terms between you and providers; supervise or monitor services; guarantee outcomes, timelines, quality, or pricing; represent providers as best or most suitable; mediate disputes; or accept responsibility for provider acts or omissions.
CRITICAL REGULATORY DISCLAIMER: Oliva is NOT licensed by CBUAE to provide mortgage advice, conduct mortgage brokerage, or assess mortgage suitability. We do NOT hold a DLD Mortgage Consultancy license. Our role is limited to providing contact information for licensed providers.
Upon your request, we may provide contact information for CBUAE-licensed banks and mortgage brokers. You should independently verify their regulatory status.
No Guarantee of Approval or Terms: Mortgage approval is solely at the lender's discretion. We make no representation regarding approval likelihood, LTV ratios, interest rates, processing fees, timelines, product availability, or suitability.
We accept NO LIABILITY for: Mortgage approval or rejection; rates, fees, or terms offered; processing delays; transaction failure due to financing; accuracy of information from mortgage providers; changes to products or criteria; suitability of any mortgage; losses from reliance on pre-approval; conduct of mortgage brokers; or any loss arising from mortgage arrangements.
Referral Fee Disclosure: When referring you to mortgage partners, Oliva may receive a referral fee from the mortgage broker (not from you), typically ~0.25% to 0.5% of the loan amount. This fee is paid by the broker from their commission, does not affect your rates or terms, is permitted under UAE regulations, and will be disclosed upon request before any introduction.
Our Platform provides financing tools (mortgage calculator, financing recommendation engine, lender comparison) for informational purposes. These tools do not constitute mortgage advice and results are indicative only.
Upon your request, we may refer you to RERA-licensed property management companies.
"Acting on Behalf of" Structure: The property manager acts as YOUR agent under a direct agreement with you. They are NOT Oliva's agent. You grant authority directly through their agreement and, where required, through a Power of Attorney for functions like Ejari registration. After initial introduction, Oliva has no ongoing involvement in or oversight of property management.
Services that property managers may provide: Tenant sourcing, vetting, and referencing; tenancy agreement preparation; Ejari registration; rent collection; DEWA management; property maintenance; periodic inspections; service charge monitoring; tenant coordination; security deposit handling; and owner financial reporting.
CRITICAL: Oliva accepts ABSOLUTELY NO LIABILITY for any aspect of property management services, including: tenant quality, selection, or default; rent collection effectiveness; property manager performance or negligence; fund handling; property condition or maintenance; Ejari registration; service charge payments; or any loss arising from property management.
Upon your request, we may provide contact information for property inspection providers. Oliva does NOT conduct, attend, supervise, or verify any inspection, nor review or endorse any report.
Inherent Limitations: Inspections are visual, non-invasive assessments. They cannot examine concealed elements (within walls, under flooring, above ceilings). An inspection does NOT guarantee absence of defects. It reflects property condition at a specific point in time. Specialist assessments (structural, MEP, pest, environmental) are typically excluded.
We accept NO LIABILITY for: inspection report accuracy; defects not identified or discoverable; latent or structural issues emerging after inspection; inspector qualifications or insurance; remediation of defects; decisions based on inspection findings; or any loss arising from inspection services.

For all categories: Oliva is introducer only, services are provided directly by third parties under their own terms, we do not assess suitability or guarantee outcomes, we accept no liability, and you should conduct independent due diligence.
Our Selection Criteria: We apply general criteria including regulatory compliance, professional insurance, track record, service standards, and competitive positioning. However, we make NO representation that referred providers meet any particular standard, are the best or most suitable, offer the most competitive pricing, or will perform satisfactorily.
YOUR Due Diligence Obligations: You are solely responsible for verifying provider regulatory status, confirming insurance coverage, reviewing terms and fee structures, assessing suitability for your needs, obtaining references, comparing multiple providers, and seeking independent advice where appropriate.
Potential Conflicts: We may receive referral fees or commissions from providers; may have preferred partner arrangements; and some arrangements may include volume targets or tiered structures.
How We Manage Conflicts: This Framework discloses referral arrangements generally. Specific details are available upon request before any introduction. We select partners based on quality, compliance, and service factors. You are under no obligation to use referred providers. Our referral arrangements are not exclusive. Brokerage independence is maintained per RERA Bylaw 85.
Your Right to Disclosure: You may request whether we receive any referral fee from a specific provider, the approximate amount, and the nature of any commercial arrangement.
Referral Fee Summary:
Complete Exclusion: To the maximum extent permitted by law, Oliva shall have ABSOLUTELY NO LIABILITY arising from any services provided by any Third-Party Provider; any act, omission, negligence, or misconduct by any provider; quality, timeliness, or fitness of third-party services; information or advice from providers; terms between you and providers; disputes with providers; provider regulatory compliance; your decision to engage or not engage any provider; or any damages arising from third-party services.
Liability Cap for Referral Activities: To the extent any Oliva liability arises from the act of making a referral itself, the cap is the lower of: (a) total fees paid by you; or (b) AED 50,000.
Non-Excludable Liability: Nothing excludes liability for Oliva's own fraud, gross negligence, willful misconduct, or any liability that cannot be lawfully excluded under UAE law.
You agree to indemnify Oliva from any claims arising from: services provided by Third-Party Providers; disputes between you and providers; claims by providers against Oliva; your breach of provider agreements; losses from reliance on provider information; claims that Oliva is liable for third-party services; or inaccurate information you provide to providers.
This indemnification is in addition to obligations under our Terms, survives termination, and extends to third-party claims against Oliva.
By accepting a referral, you consent to us sharing: your name and contact details; basic information about your requirements; property details relevant to the service; and other information reasonably necessary for the introduction.
Once shared, Third-Party Providers process your data as independent data controllers under their own privacy policies. We are not responsible for their data processing practices. See our Privacy Policy for full details on how we handle your data.
Oliva may in the future offer property management, inspection, mortgage brokerage, or other services directly. Such services will be governed by separate, dedicated terms with their own scope and liability provisions. Existing third-party referral options will remain available in parallel. This Framework governs referrals only and does not apply to future direct services.
Disputes with Third-Party Providers: Are between you and that provider. Oliva is not a party and has no obligation to mediate.
Disputes Concerning This Framework: Resolved per our Terms and Conditions, including direct negotiation, RERA mechanisms, Dubai Courts, and DIAC arbitration for claims exceeding AED 500,000.
Limitation Period: Claims must be commenced within 2 years.
Governing Law: UAE and Dubai law.
